Florida Annual Report Filing

  • Required each year to maintain an active status with the Florida Department of State, Division of Corporations

  • Updates or confirms your business’s legal name, address, and ownership information on record

  • Required even if no changes are being made

  • Must be filed by May 1 to avoid a $400 state late fee

  • Businesses that fail to file by the third Friday of September may be administratively dissolved or revoked by the State, which can result in additional reinstatement fees

  • Annual reports are not financial statements

  • Required for businesses with one or more employees

  • Must be posted in a conspicuous workplace location

  • Must be updated annually to remain compliant

  • Failure to post required notices may result in civil penalties, which in some cases may exceed $7,000 per violation

Important Filing Information

If your business is currently inactive and requires reinstatement, additional state fees may apply. If reinstatement is required, we will contact you before proceeding. Annual reports cannot be filed until the business is returned to active status and all required fees are paid.

Florida businesses are required to file an annual report by May 1 of each calendar year. Filing through our service includes administrative preparation, submission, applicable state filing fees, and our processing fee for the current filing year.

If you require an updated Labor Law Poster, please be sure it is added to your order. Labor Law Posters must be renewed annually to remain compliant with current state and federal requirements.
